 Our client seeks a qualified company secretary to join their team of five. Comprising - Group Legal Counsel, Group Company Secretary/Head of Governance, this role – Senior Assistant Secretary, Assistant Secretary and a trainee.

The role will be responsible for the largest regulated subsidiary within the Group and the UK portfolio of Companies. This includes all aspects of corporate governance related advice and support to designated boards and committees, non-executive directors and senior management (including planning, scheduling, review of relevant materials submitted to designated boards / committees and all associated governance). Working in close collaboration with the business, Risk, Legal, Compliance & Data Privacy teams, advising and supporting them in the management of legal and regulatory risk. The role has a leadership element within the team and will deputise for the Head of Corporate Governance.

We are looking for an experienced corporate governance professional with insurance experience. Experience of working within a listed environment or within a similar highly regulated arena would be preferred to ensure that our client and its international group of companies can operate to the highest possible governance standards.   

Essential Skills & Experience

  • A professional with excellent communication, administrative, organisational and IT skills, along with the ability to prioritise and demonstrate initiative while working proactively with a high degree of professionalism.

  • ICSA/CGI Qualified (or finalist)

  • Relevant company secretarial experience within a regulated environment preferences to insurance experience.

  • Knowledge of governance based practise, relevant issues, statutory requirements and regulations and new trades in the industry.

  • Experience of leading change in governance practises to high standards.

  • Experience in the engagement with Non-Executive Directors and Board\Committee chairs.

  • Strong working knowledge of Blueprint/Diligent entities and Diligent Boards functionality or similar products.

  • Experience building effective customer relationships which creates customer advocacy.
