Our client is a modern diversified financial services organisation and it now seeks to recruit a Company Secretary to join them on a full or part-time (3 or 4 days a week, dependant on experience)  basis in a role focussed solely on Board Governance. You would report to the CEO and be responsible to the Board.



This role would suit a highly organised candidate, someone used to the demands of keeping a meeting schedule running like clockwork, and someone completely unflappable! There are 9 members on the Board, 6 NEDs and 3 Executive Directors.



Duties will include;


  • To be responsible for ensuring that Board procedures are complied with, advise the Board Chair and the Board on all matters of corporate governance
  • To support the Board Chair in ensuring both the Board and its Committees function efficiently including the compilation of Board/Committee packs, production of minutes and ensuring all Terms of Reference are updated annually
  • To be responsible for ensuring good information flows within the Board and its Committees, between senior management and non-executive directors
  • To assist the Board Chair in establishing the policies and processes the Board needs in order to function efficiently
  • To ensure that all Board directors have access to independent professional advice when appropriate
  • Responsible for oversight of the independence, autonomy and effectiveness of the whistleblowing policies and procedures, including those for the protection of staff raising concerns.
  • To ensure all governance arrangements relating to the maintenance of the organisations Management Responsibilities Map are undertaken including the annual governance process for all function holders and the annual Certified Persons review.
  • To be responsible for the organisation of the Annual General Meeting.
  • To maintain statutory books including the register of Directors.

Knowledge, skills and experience required;


  • A relevant Company Secretary qualification is desirable
  • Previous experience in a similar role
  • The ability to think creatively and to find solutions to improve existing practices or add value to new propositions. Sound commercial judgement.
