Our international manufacturing client seeks to recruit a Company Secretary. This role would suit a qualified candidate with broad ranging experience and strong commercial awareness to provide the following service;




  • Act as primary point of contact and source of advice for all governance related matters.
  • Ensure compliance with all non-product-related legal and regulatory matters relevant to the UK&I business including leading on data protection, anti-bribery, competition and modern slavery.
  • Risk Management - Lead the discussion on the annual review of the Top 10 risks.
  • Provide sound legal and commercial advice on all aspects of business transactions.
  • Support the Contracts and Legal Advisor to work with the business to review and draft a wide range of legal documentation
  • Responsible for the UK&I annual renewal and liaise with Group in respect of the global insurance programme.
  • Manage the legal and administrative aspects of the real estate portfolio.
  • Responsible for all entity management activities, including overseeing statutory filings, maintenance of statutory records.
  • Work with the Group Patent Manager on trademark applications, renewals, surrenders and infringements.
  • Liaise with the independent Chair of the pension trustees and pension trustees’ legal advisors as required
  • Lead and manage the team.
  • Provide support on any ad hoc activities and projects as instructed by the Managing Director or Finance Director.

This role would suit a candidate with the following skills and experience;


  • Fully qualified as a governance professional (ACG or FCG) or legal professional.
  • Experienced company secretary working at a senior level in a large, multi-faceted commercial organisation operating across B2B and B2C channels either as sole practitioner or of leading a small team.
  • Experienced adviser to the executive board.
  • Able to manage a complex workload prioritizing as required, delegating and monitoring functional activity.
  • Experience of managing, developing and motivating a team.
  • Outcome-focused and responsive to the needs of the business
  • Dynamic and adaptable, robust but pragmatic.
  • Strong commercial awareness and approach.


This full-time role will report to the Finance Director – UK and Ireland. There is a team of three reporting to this role. The head office is based in the Midlands - very close to a major train station. A full job description is available on request.
