The Deputy Company Secretary is responsible for the provision and delivery of the secretariat function. They will usually oversee the other team members within the department and report to the Company Secretary.
Typical Profile
The Deputy Company Secretary will have a good understanding of the Companies Act 2006, UK Corporate Governance Code and applicable law and regulations. Often, 5+ years in a Co-Sec team in a comparable environment is necessary.
They will also have outstanding organisational and IT skills, along with good attention to detail as well as have a great analysis and oral / written communication skills with the ability to advise and influence people at all levels including external parties and Main Board Directors.
Core Responsibilities of the Deputy Company Secretary:
- Contributing to the production of the Annual Report and accounts and management of the AGM
- Compliance with listing rules, and DTR including the drafting of market announcements; regulations, company law and corporate governance guidelines
- Ensuring compliant operation of share schemes alongside the Reward function;
- Supervision of statutory compliance,
- Attendance and involvement at board committees; and
- Involvement with M&A transactions.
