Our client is a membership organisation who looking for an interim Head of Governance on a 4-6 month basis to help them over a period of change within the team. About the role:
This role is responsible for leading the organisation's governance, company secretariat and legal coordination functions; ensuring timely, accurate and high?quality governance and compliance processes are in place.
The Head of Governance will ensure Council, the Audit, Risk & Appointments Committee (ARAC) and the Administration Board meet statutory, regulatory and constitutional obligations; maintain high standards of probity; and support effective decision?making.
The role will report directly to the Chief Executive. The role will also have direct access to the President and the Chair of ARAC, if required.
Key skills and experience:
Qualifications:
- CGI (ICSA) qualification or equivalent governance/legal credential (desirable).
 
- Evidence of continuing professional development in governance, charity/company law, and data protection.
 
Experience:
- Proven company secretary/governance leadership in a charity, professional body or comparable regulated environment.
 
- Board/committee secretariat experience including agenda planning, minute?taking and action tracking.
 
- Coordinating legal inputs on contracts and regulatory/governance matters with external/internal counsel.
 
- Designing and operating governance policies and assurance frameworks (e.g. ethics, anti?bribery, speaking up, etc).
 
- Working with ICT/data security and data governance to manage incidents, retention and ICO notifications.
