Our client seeks a motivated Company Secretarial Assistant to join their Group Secretariat. In this dynamic role, you will report to the Deputy Company Secretary as well as supporting the Head of Compliance, Regulation & Commercial Contracts and the Chief Legal Officer to ensure the efficient operation of the department. This position offers a fantastic opportunity for professional growth in governance.



Responsibilities include:

Governance Support:


  • Assist Directors and senior management with corporate governance matters.
  • Ensure compliance with the UK Companies Act, UK Corporate Governance Code,

Meeting Administration:


  • Prepare and circulate Board and Committee papers.
  • Attend meetings and drafting minutes regularly.
  • Manage the administrative tasks related to Board and Committees.

Company Administration:


  • Support statutory compliance for companies by updating records in Diligent Entities and preparing statutory filings with the Registrar of Companies.
  • Maintain a timeline for key filings to ensure compliance.
  • Assist with executing company resolutions and maintaining the group structure chart.

Additional Responsibilities:


  • Administer the Diligent Boards and Diligent Entities systems.
  • Support the Deputy Company Secretary and Chief Legal Officer on various projects, including annual reports.

The successful candidate is likely to have the following skills and experience;


  • Experience supporting Company Secretarial functions within a business with a desire to build a governance career.
  • Highly proficient in drafting minutes and knowledge of UK corporate governance and company law.
  • Familiarity with Diligent Boards and Diligent Entities (or similar systems) is highly desirable.
  • Experience drafting company documentation, such as confirmation statements.
  • Strong relationship management skills and confidence when interacting with senior colleagues.
  • Ability to work independently, manage pressure, and meet tight deadlines.
  • Exceptional attention to detail and strong organisational skills.
  • A collaborative team player with excellent written communication skills.

Qualifications:


  • Degree educated or equivalent is essential; a law degree is a plus, and study support is available if you are aiming to qualify as a company secretary.
